General Terms and Conditions.




Definitions 


Adrian Lambert is the ‘photographer’, an employee of ‘Adrian Lambert Photography Ltd’ (ALP). ‘ALP’ is the supplier of Adrian Lambert’s photographic services and the usage licences that are required to reproduce his images. The ‘photographs’ or ‘images’ are the digital files created by Adrian Lambert that comprise the commission. The ‘commission’ is the photographic task assigned to ALP. The ‘agency’ is the company/person or body from whom ALP receives the assignment brief and to whom invoices are addressed. The ‘client’ is the company/person or body that will engage the agency as their proxy, and will be the assignee of the usage rights.


The Licence


The client will be licensed non exclusive usage rights to use the commission photographs for the purpose of their own publicity including: portfolios, prospectuses, press releases, social media posts, newsletters, websites, intranet sites, brochures, leaflets, fliers, exhibitions, bids, site hoardings, presentations, office displays, trade fairs, catalogues, calendars, annual reports, trade awards and competition submissions.

This license is held in perpetuity and applies in all territories worldwide.

NOT ADVERTISING – rates for advertising use can be quoted for on an per usage basis.

Unless I am allowed the time and support to gather release forms from individuals or property owners I won’t be able to offer indemnity against actions from these parties as part of the licence. Often agreements in the form of email conversations for photography are granted to my clients. These conversations might prove to be important documents in the future particularly if images are to be used in advertising so are worth keeping copies of.

The image license will take the form of a PDF but also confirmed as text embedded as image metadata into all photographs supplied by ALP. Be aware than many Digital Asset Management systems and online web and social media services may remove embedded image metadata to reduce the file size.

This license is non-transferrable.


Co-commissions


Co-commissions are welcomed. An additional usage licence being granted for a fee of a percentage of the total commission fee. This percentage will vary depending on whether the co-commissioning party has engaged before or after the photography has been conducted. Prior to photography the rate is 25%. After photography is 35%. The invoices can be split in any way the co-commissioning parties deem appropriate. If a client would like to purchase a licence for another party the rate is 25%.


Image File Delivery


Unless otherwise requested prior to delivery, the images will be optimised for both use in print and on screen therefore supplied as JPEG digital image files using the AdobeRGB colour space at the highest resolution available with compression levels set 95% to preserve very high image quality, and as JPEG digital image files using the sRGB colour space with compression set to 80% and the longest side set to 3840 to match the width of a hi-resolution 4K display. The images will be delivered using WeTransfer or similar service.


Additional Information


All commissioned photographs will be archived securely on and off site in compliance with General Data Protection Regulations. Duplicates of the originals can be supplied to the client or their agency upon request at no charge.

Image information such as the usage licence, but also capture time and location, recognisable people depicted, the contact details of the photographer, and a brief description of the image as part of the wider commission will be embedded as metadata text into each image captured and supplied in compliance with XMP and IPTC standards. This information is often removed when derivative images are created by digital asset management software or online services for the purposes of reducing the files size. Care should be taken to ensure at least some of this metadata is preserved in the derivative images to prevent licensed images published online from being used by other parties.

ALP will gain consent from the agency and/or client before licensing commission photographs to third parties where possible.

ALP will not at any time licence or sell commissioned photographs in stock agencies.

These terms are written in the UK and as such all contracts will be written, conducted, and ruled under the UK's laws. 

ALP will carry current public liability and employee indemnity insurance. 

Any and all liability will be limited to the invoiced amount. 

These terms will stand unless agreed in writing by all parties prior to work being carried out.

These terms may change without notice if necessary.

I hold an Enhanced DBS certificate and a UK Press Card which allow me to operate in a wider range of situations than normal. I also hold a certificate in emergency first aid in the workplace.
